1. Philobiblon Gallery s.r.l. (qui di seguito definita "Philobiblon Gallery")
nello svolgimento della sua attività di vendita agisce in qualità di mandatario con rappresentanza esclusiva in nome proprio e per conto di ciascun soggetto che ha posto i beni in vendita all'asta (di seguito definito Venditore) il cui nome viene trascritto negli appositi registri tenuti secondo le disposizioni di Pubblica Sicurezza presso Philobiblon Gallery.
La vendita deve considerarsi intervenuta tra il Venditore e l'Acquirente
(di seguito definito l'Aggiudicatario); ne consegue che Philobiblon Gallery non assume in proprio alcuna responsabilità oltre a quella ad essa derivante dalla propria qualità di mandatario.
2. Gli oggetti offerti in vendita all'asta saranno aggiudicati al miglior offerente e si intendono per contanti.
3. Le commissioni per i diritti d'asta dovute a Philobiblon Gallery dall'Aggiudicatario sono pari a:
27% del prezzo di aggiudicazione fino ad un importo pari a 100.000,00 Euro
21% del prezzo di aggiudicazione sugli importi eccedenti 100.000,00 Euro
e sono comprensive di diritti d'asta e di IVA.
4. L'asta sarà preceduta da un'esposizione dei beni in vendita con lo scopo di far constatare ai partecipanti la qualità, lo stato di conservazione e di permettere altresì un esame approfondito circa l'autenticità e chiarire eventuali errori e/o inesattezze in cui si fosse incorsi nella compilazione del catalogo, nelle brochures e in qualsiasi altro materiale illustrativo. Philobiblon Gallery si rende disponibile ad integrare le descrizioni su richiesta dei clienti mediante rapporti scritti e/o corredati d'immagini (c.d. Condition Reports).
5. Eventuali contestazioni circa le attribuzioni riportate in catalogo, nonché sulla qualità ed integrità dei lotti aggiudicati, dovranno essere mosse a mezzo raccomandata con ricevuta di ritorno da inviare entro e non oltre 10 giorni dalla data di aggiudicazione. Philobiblon Gallery, nel caso in cui la contestazione risultasse fondata, sulla base della documentazione che in ogni caso dovrà essere prodotta a cura e a spese dell'Aggiudicatario, sarà tenuta esclusivamente al rimborso delle somme già percepite senza interessi, senza alcun ulteriore obbligo di risarcimento a nessun titolo.
6. Per quanto riguarda le aste di libri, Philobiblon Gallery non accetterà contestazioni relative a macchie, fori di tarlo, carte o tavole rifilate, danni alla legatura e ogni altro difetto che non leda la completezza del testo e/o dell'apparato illustrativo, come altresì la mancanza di tavole, di indici, di carte bianche, di inserzioni, di supplementi e appendici successive alla pubblicazione dell'opera. Come anche non accetterà contestazioni relative a libri non descritti in catalogo.
7. Tutti i lotti di quest'asta sono assoggettati al cosiddetto "Diritto di Seguito", ai sensi del D. Lgs. n. 118/2006, ossia il diritto dell'autore vivente di opere di arti figurative e di manoscritti ovvero dei suoi eredi, ove l'autore sia deceduto da meno di 70 anni, a percepire un compenso calcolato in forma percentuale sul prezzo di vendita degli originali delle proprie opere in occasione delle vendite successive alla prima. Per i beni di questa tipologia, opportunamente segnalati, l'acquirente si impegna a pagare il Diritto di Seguito che spetterebbe pagare al venditore in base all'art. 152, I comma, Legge 22 aprile 1941, n. 633. Tale diritto non potrà comunque essere superiore a Euro 12.500 per ciascun lotto e l'importo da corrispondere viene così determinato:
- 4% per la parte del prezzo di aggiudicazione fino a Euro 50.000,00
- 3% per la parte del prezzo di aggiudicazione compresa tra Euro 50.000,01 e Euro 200.000
- 1% per la parte del prezzo di aggiudicazione compresa tra Euro 200.000,01 e Euro 350.000
- 0,50% per la parte del prezzo di aggiudicazione compresa tra Euro 350.000,01 e Euro 500.000
- 0,25% sul prezzo di aggiudicazione oltre Euro 500.000.
Il Diritto di Seguito addebitato al compratore sarà versato da Philobiblon Gallery alla SIAE in base a quanto stabilito dalla legge.
8. (T): i lotti contrassegnati da tale simbolo sono assoggettati al regime di temporanea importazione sul territorio italiano, provenienti perciò da un venditore estero e per tale motivo non soggetti ad alcun provvedimento restrittivo da parte della normativa vigente in Italia. A tale proposito, tutti gli altri lotti eventualmente sottoposti alla notifica da parte dello Stato italiano, gli Aggiudicatari saranno tenuti all'osservanza di tutte le disposizioni di cui all'D. Lgs. 22 Gennaio 2004 n. 42. L'esportazione di oggetti da parte di Aggiudicatari residenti e non residenti in Italia sarà regolata dalla suddetta normativa nonché dalle leggi doganali, valutarie e tributarie in vigore. Philobiblon Gallery declina ogni responsabilità nei confronti degli Aggiudicatari in ordine ad eventuali limitazioni all'esportazione dei lotti aggiudicati e in ordine ad eventuali licenze o attestati che l'Aggiudicatario di un lotto debba ottenere in base alla legge italiana. L'Aggiudicatario, in caso di esercizio del diritto di prelazione da parte dello Stato, non potrà pretendere da Philobiblon Gallery e/o dal Venditore alcun rimborso di eventuali interessi sul prezzo delle commissioni d'asta già corrisposte.
9. I partecipanti all'asta dovranno preventivamente compilare e sottoscrivere un modulo di partecipazione, indicando tutti i loro dati personali ed eventualmente le loro referenze bancarie; Philobiblon Gallery si riserva il diritto di chiedere a tutti coloro che partecipano il rilascio di tutte le garanzie che riterrà idonee al fine di poter partecipare alla gara. Tali dati saranno trattati in conformità alla vigente normativa sulla tutela della riservatezza dei dati personali (c.d. Privacy). Durante lo svolgimento dell'asta il banditore ha facoltà di accettare sia offerte del pubblico presente, sia quelle di persone non presenti attraverso specifiche commissioni d'acquisto. Philobiblon Gallery può altresì accettare commissioni d'acquisto dei lotti in vendita su preciso mandato compilato interamente in ogni sua parte, sia tramite formulazione di offerte scritte che di partecipazioni telefoniche; in entrambi i casi verranno ritenute valide purchè pervengano a Philobiblon Gallery con un congruo anticipo rispetto all'asta e confermate per iscritto.
10. Philobiblon Gallery si riserva il diritto di rifiutare offerte provenienti da, o riconducibili a, soggetti che in precedenza non abbiano puntualmente onorato obbligazioni pecuniarie, anche a titolo risarcitorio, nei confronti di Philobiblon Gallery.
11. Durante lo svolgimento dell'asta il Banditore a sua assoluta discrezione potrà variare l'ordine della vendita, abbinare e/o separare i lotti, formulare rilanci; qualora sorga controversia sull'Aggiudicatario il Banditore potrà, a suo insindacabile giudizio, riformulare un'offerta di vendita per un lotto e/o adottare qualsiasi provvedimento ritenga adatto alla circostanza. Philobiblon Gallery si riserva il diritto di non procedere all'aggiudicazione e/o ritirare i lotti per i quali le offerte d'asta non raggiungano il prezzo minimo di riserva concordato con il Venditore.
12. I lotti saranno aggiudicati al prezzo più conveniente consentito da altre offerte sugli stessi lotti e dalle riserve registrate. In caso di offerte di medesimo importo prevarrà l'offerta pervenuta prima. Philobiblon Gallery riterrà unicamente responsabile del pagamento l'Aggiudicatario e non sono accettati trasferimenti a terzi dei lotti aggiudicati; pertanto la partecipazione all'asta in nome e per conto di terzi dovrà essere preventivamente comunicata. Il trasferimento della proprietà dei lotti dal venditore all'aggiudicatario avviene al momento del pagamento dell'ammontare totale dovuto comprensivo del prezzo di aggiudicazione, delle commissioni per i diritti d'asta e di tutte le imposte o altri oneri applicabili alla vendita e alla commissione. Il pagamento deve essere effettuato in Euro.
Sono accettate le seguenti forme di pagamento:
a) contanti; nel rispetto delle norme antiriciclaggio è escluso il pagamento in contanti per importi superiori a Euro 999,00;
b) carta di credito VISA o MASTERCARD; per ogni pagamento con carta di credito verrà applicata una maggiorazione del 3%;
c) assegni circolari e/o bancari non trasferibili intestati a Philobiblon Gallery S.r.l.
d) bonifico bancario su c/c n. 3828X90 intestato a Philobiblon Gallery S.r.l., in essere presso Banca Popolare di Sondrio - Agenzia n°25 - Parioli di Roma, Viale Parioli, n°39/B, contraddistinto dalle seguenti coordinate bancarie: IBAN: IT77 Y056 9603 2250 0000 3828 X90, BIC/SWIFT: POSOIT22 .
Nel caso di pagamento con assegni o bonifici bancari, il pagamento s'intende effettuato solo dopo che la banca di Philobiblon Gallery abbia confermato il buon esito dell'assegno e/o dell'accredito.
13. Il pagamento del totale dovuto a Philobiblon Gallery dovrà essere effettuato entro e non oltre sette giorni dall'Aggiudicazione. Nel caso di ritardi nel pagamento del prezzo di aggiudicazione e dei diritti d'asta, Philobiblon Gallery potrà addebitare all'Aggiudicatario una penale nella misura del 12% annuo calcolato per i giorni di ritardo nel pagamento, salvo il diritto della stessa, decorsi sette giorni dalla data dell'asta, di considerare revocata l'aggiudicazione e di procedere alla vendita dei lotti a trattativa privata ovvero in una successiva asta in danno dell'Aggiudicatario, trattenendo, comunque, a titolo di penale, eventuali acconti ricevuti. Gli oggetti di cui sopra verranno custoditi da Philobiblon Gallery a rischio e spese dell'Aggiudicatario fino a quando non saranno venduti come previsto al precedente paragrafo oppure restituiti al Venditore su richiesta del medesimo, fermo restando che, fino alla data di restituzione o di vendita, l'Aggiudicatario, sarà tenuto a corrispondere a Philobiblon Gallery la penale sopra menzionata
14) I lotti acquistati e pagati devono essere ritirati a cura, spese e rischio dell'Aggiudicatario. Philobiblon Gallery offre altresì la possibilità di spedire i lotti acquistati, previa compilazione dell'apposito modulo di spedizione entro sette giorni dall'asta. In caso di spedizione tutti i costi saranno a carico dell'Aggiudicatario; decorso il termine Philobiblon Gallery sarà esonerata da ogni responsabilità in relazione alla custodia e all'eventuale deterioramento dei beni. Il costo giornaliero di magazzinaggio, per i sette giorni successivi alla scadenza, ammonta a Euro 10,00 per ogni giorno; scaduto questo termine i lotti potranno essere consegnati a magazzini esterni, con spese, rischi e relativa fatturazione a totale carico dell'acquirente. In tale caso Philobiblon Gallery, fatto salvo il risarcimento dei maggiori danni, potrà procedere a:
a) alienare il lotto a trattativa privata, con diritto di esigere dall'Aggiudicatario eventuali differenze di prezzo;
b) vendere in un'asta successiva in danno all'Aggiudicatario, trattenendo a titolo di penale eventuali accordi ricevuti;
c) agire per il recupero di una penale pari al 25% del prezzo di aggiudicazione.
15). Le presenti condizioni di vendita si intendono integralmente accettate alla firma da tutti coloro che parteciperanno all'Asta. Per ogni controversia si applicherà la legge italiana e sarà competente in via esclusiva il Foro di Roma, fatta salva la facoltà di Philobiblon Gallery di agire innanzi al Foro del convenuto. La legge penale tutela la libertà degli incanti e punisce la turbativa delle gare anche mediante offerte fittizie.

1. Philobiblon Gallery S.r.l., is a company with principal office in Rome, Via della Colonna Antonina No. 41 and operating office in via Antonio Bertoloni No. 45, recorded with the Companies Register of Rome and Fiscal Code No. 12371931002 [Company Register Code RM-1369217], Company in carrying out its selling activity, acts as an agent on an exclusive basis in its name but on behalf of each Seller, whose name is registered in the special books held at Philobiblon Gallery S.r.l's office pursuant to the Police Regulations. The sales shall be deemed concluded directly between the Seller and the Buyer (hereinafter referred to as the 'Buyer'); it follows that Philobiblon Gallery S.r.l.undertakes no responsibility except that deriving from its role as agent.
2. The lots are knocked down to the highest bidder. If any dispute arises between two or more bidders, the disputed lot may, at the sole discretion of the Auctioneer, immediately be reoffered and resold.
3. The commissions due to Philobiblon Gallery S.r.l.by the Buyer are the following:
- 27% of the hammer price of each lot up to an amount of Euro 100.000,00;
- 21% of the hammer price on any amount in excess of Euro 100.000,00.
and include rights and VAT.
4. Before every auction, an exhibition of the lots shall take place in order to allow a trough evaluation of the authenticity, the state of preservation, the provenance and the type and quality of any lot. The descriptions in the catalogue can be integrated at the request of our clients through the delivery of written reports (s.c. condition reports).
5. Possible refutations must be communicated within ten days from the adjudication by registered mail; if the reason of the refutation would result valid, on the base of the documentation supplied by the Buyer, Philobiblon Gallery S.r.l will refund the Buyer only for the amount already collected, against the return of the adjudicated lots. Philobiblon Gallery S.r.l won't be compelled to additional reimbursement.
6. In any case of auctions concerning books, the Buyer shall not be entitled to dispute any damage to bindings, foxing, wormholes, trimmed pages or plates or any other defect affecting the integrity of the text and/or illustrative material, including missing indices of plates, blank pages, insertions, supplements and additions subsequent to the date of publication of the work. No refund will be considered for books not described in the catalogue
7. FOR ALL THE LOTS In this auction according to Italan Legislative Decree No. 118/2006 have a so called 'Diritto di Seguito' (artist's resale right) namely the right of the artist, who created figurative works or manuscripts, during his entire life and the right of his heirs for a period of 70 years from the artist's death, to receive a payment calculated at a percentage of the sale price of the originals of his works on occasion of subsequent sales of the artist's works. For lots that appear with this symbol the buyer is committed to pay the 'droit de suite' which entitles the seller to pay according to the art. 152, I comma, Law 22 aprile 1941, n. 633. Such artist's compensation is at charge of the Buyer and is calculated on the hammer price if it is equal or higher than Euro 3.000,00. This compensation cannot in any case be higher than Euro 12.500,00 for each lot. The amount of the compensation to be paid is calculated as follows: 4% for the sum of the hammer price up to Euro 50.000,00; 3% for the sum of the hammer price between Euro 50.000,01 and Euro 200.000,00; 1% for the sum of the hammer price between Euro 200.000,01 and Euro 350.000,00; 0,50% for the sum of the hammer price between Euro 350.000,01 and Euro 500.000,00; 0,25% of the hammer price in excess of Euro 500.000,00. The artist's compensation charged to Buyer shall be paid by Philobiblon Gallery S.r.l.to SIAE, pursuant to what prescribed by the Italian law.
8. Lots with simbol (T). Lots from a foreign Seller, in temporary importation in Italy and not subject to any restrictive measure by the Italian State.
Concerning the other lots the Buyer, with respect to the lots declared of significant interest by the Italian State, shall comply with the provision set forth in the Legislative Decree No. 42 of January 22, 2004 (so called 'Codice dei beni culturali'). The export of lots by the Buyers, both resident and not resident in Italy, is governed by the above mentioned provisions of law and are also subject to customs, currency and tax-regulations in force. Philobiblon Gallery S.r.l. shall not be held liable for any restrictions on export of the sold lots or for any licenses or permits that the Buyer must obtain under Italian law. In the event that the Italian State exercise the right of pre-emption, the Buyer shall not be entitled to receive either from Philobiblon Gallery S.r.l.or from the Seller any refund of the interest on the sale price and on the commissions already paid to Philobiblon Gallery S.r.l.
9. Each prospective Buyer must complete and sign a registration form, including personal data, ID and bank references prior to each auction. Said data shall be treated confidentially pursuant to the applicable laws on privacy, as indicated in details in the appropriate notice delivered to the prospective buyers. Philobiblon Gallery S.r.l.will be entitled to execute bids for specific lots on behalf of clients known to it, making bids through the auctioneer in competition with the other bidders attending the sale. In the event of two identical bids, the bid communicated by the auctioneer shall prevail over the bid made by other bidders
10. Philobiblon Gallery S.r.l.reserves to itself the right to refuse bids made by persons not registered, not identified or who has not given adequate bank references, or persons beforehand insovents with regards to Philobiblon Gallery S.r.l
11. Philobiblon Gallery S.r.l. reserves the right to withdraw any lot in its absolute discretion and without need of any notice. During the auction, the auctioneer in its absolute discretion is entitled to change the order of sale, to join and/or separate any two or more lots. Philobiblon Gallery S.r.l., moreover, shall also withdraw lots if the bids do not reach the reserve price, as agreed between Philobiblon Gallery S.r.l.and the Seller
12. Sales are made to the highest bidder, to be considered for cash. In the event of two identical bids, the bid communicated by the auctioneer shall prevail over the bid made by other bidders. Philobiblon Gallery S.r.l. deemed solely responsible for paying the Winner and transfers to third parties of batches already awarded are not accepted. Therefore, participation in the auction and on behalf of third parties must be notified in advance. Personal data given at the registration will be used for the invoice and will be unchangeable.
Title to the lots is transferred to the highest bidder only upon full payment of the hammer price and of the commissions referred to in paragraph 3. The following modalities of payment are accepted:
a. by cash up to Euro 1.000;
b. by VISA or MASTERCARD credit card (a surcharge of 3.00% is payable).
c. by banker's draft and/or certified non negotiable cheque payable to Philobiblon Gallery S.r.l.;
d. by bank transfer to the banking account No. 3828X90 in the name of Philobiblon Gallery S.r.l. with Banca Popolare di Sondrio, Agenzia No. 25 of Rome, Viale Parioli 39, identified with the following banking data: IT77Y0569603225000003828X90, SWIFT: POSOIT22.
In case of payment made by cheque or banking remittance, the payment shall be deemed made only when Philobiblon Gallery S.r.l's bank has confirmed the encashment of the cheque or the receipt of the remittance.
13. The Buyer shall pay to Philobiblon Gallery S.r.l. the hammer price plus the commission due to Philobiblon Gallery S.r.l.for the action fees within seven working days, unless otherwise previously agreed in writing with Philobiblon Gallery S.r.l. In the event of delays in the payment of the hammer price plus commissions by the Buyer, Philobiblon Gallery S.r.l.may charge to the Buyer liquidated damages at the rate of 12% per year calculated for the actual days of delay, saving the right of Philobiblon Gallery S.r.l, after the elapse of seven days from the auction, to cancel the sale of the lot and to resell the lot by future auction or by private sale, withholding in any case, as liquidated damages, advance payments, if any, made by the Buyer. The unpaid lots shall be kept in custody by Philobiblon Gallery S.r.l.at risk and cost of the Buyer until they are sold, as provided for in the precedent paragraph, or returned to the Seller upon his request, it being understood that, until the sale or the return of the lots to the Seller, the Buyer shall be obliged to pay to Philobiblon Gallery S.r.l. the above mentioned liquidated damages.
14. The Buyer, after the payment of the hammer price and of the commission, should collect or should ask for the shipping of the lots at his own risk and costs within seven days from auction. The cost of the storage, for seven days after this time, amounts to 10,00 Euros per day. After this time, Philobiblon Gallery S.r.l. shall not be held liable towards the Buyer with reference to the custody, to any possible deterioration or wear and tear of the lots and will have right to
a) sell it privately, requiring a possible difference of price
b) sell it in a following auction
c) recover a penality equal to the 25% of the hammer price
Philobiblon Gallery S.r.l. may arrange to have the lots packed, insured and shipped at the express request, expense and risk of the Buyer, upon receipt of the related payment
15. These general conditions of sale shall be deemed accepted entirely and automatically by the sale participants and are available to any person requesting them. Any dispute relating to these general conditions on the auctions shall be submitted to the exclusive jurisdiction of the Rome Courts and shall be governed by Italian Law, saving Philobiblon Gallery S.r.l. rights to submit the claim to the Court where the defendant is resident.
