# Terms and Conditions of Sale

1. Acceptance of Terms
By registering to bid, placing bids, or participating in any auction conducted by The East is Red Auctions (the Auction House), all bidders agree to be bound by these Terms and Conditions.

2. Definitions
Auction House means The East is Red Auctions. Seller means the consignor. Bidder means a registered participant. Buyer means the highest successful bidder. "Lot" means the item or group of items offered for sale.

3. Registration
The Auction House reserves the right, in its sole discretion, to approve, reject, suspend or revoke bidding privileges. All bidders must provide accurate information and may be required to verify their identity.

4. Condition of Property
All property is sold "as is" and with all defects. No warranties are made regarding condition, authenticity, age, provenance or merchantability. Descriptions represent personal opinion only.

5. Disclaimer as to Authenticity
No warranty of authenticity, attribution or provenance is given unless expressly stated in writing.

6. Inspection
Bidders shall review all photographs and descriptions prior to bidding. Failure to inspect shall not relieve the Buyer of liability.

7. Bidding Procedure
The Auction House may accept or reject bids, modify offers, withdraw lots, or resolve disputes in its sole discretion. The Auction House's records shall be final.

8. Reserve Prices
Certain lots may be subject to confidential reserve prices. The Auction House may bid on behalf of consignors up to the reserve price.

9. Buyer's Premium
A Buyer's Premium shall be added to the hammer price in accordance with the applicable schedule.

10. Payment Terms
Payment is due within 3 days following the close of the auction. Accepted methods include credit card, wire transfer, ACH, or approved alternatives.

11. Sales Tax
Applicable sales tax shall be charged unless a valid tax exempt certificate is provided.

12. Shipping and Pick Up
Shipping costs shall be borne by the Buyer. Risk passes upon delivery to carrier or collection by the Buyer.

13. Title and Risk of Loss
Title shall transfer only upon receipt of full payment. Risk of loss passes upon carrier pick up or when the Buyer takes possession.

14. Bidder Default
If the Buyer fails to make payment, the Auction House may cancel the sale, resell the property, recover the shortfall, pursue expenses, suspend bidding privileges and institute legal action.

15. Refunds
The Buyer agrees not to initiate chargebacks for valid purchases. Unauthorized chargebacks shall result in liability for all costs, fees and attorney's fees.

16. Abandoned Property
Items not collected within 30 days may incur storage charges. Unclaimed property after 90 days may be deemed abandoned and resold or disposed of.

17. Limitation of Warranties and Remedies
All express or implied warranties are disclaimed. The exclusive remedy permitted by law is refund of the purchase price.

18. Limitation of Liability
Liability shall not exceed the purchase price of the lot. The Auction House shall not be liable for indirect or consequential damages.

19. Online Platform
No warranty is given that the bidding system will operate without interruption or error.

20. Dispute Resolution
All disputes shall be governed by the laws of the State of Delaware and subject to the exclusive jurisdiction of courts located in Delaware. The parties waive any objection to venue.

21. Attorney's Fees
The prevailing party may recover reasonable attorney's fees and costs to the fullest extent permitted by law.

22. Export Compliance
The Buyer shall comply with all import and export laws and regulations.

23. Sanctions Compliance
Bidder represents that it is not subject to United States sanctions or listed on restricted party lists.

24. Force Majeure
The Auction House shall not be liable for events beyond its control, including power outages, disasters or technical failures.

25. Privacy
Registration data is used for auction operations, legal compliance and fraud prevention.

26. Entire Agreement
These Terms constitute the entire agreement between the parties with respect to auction participation.

27. Amendments
The Auction House may update these Terms at any time upon posting on its website.
