L'Hôpital Fondation Adolphe de Rothschild 2022 AUCTION (the Organizer), headquartered in Paris, is recognised as a public service. The purpose of the Foundation was to create a hospital that was pioneering in all areas. The Foundation today, In medicine, research, especially clinical research, is essential for improving care and increasing the chances of finding a cure. It is the reason why treatments are constantly improving and becoming more effective. Foch stands out for its teams' significant contribution to research.
GENERAL CONDITIONS OF SALE
The following Terms and Conditions of Sale apply to all single lots presented at the closing auction of the L'Hôpital Fondation Adolphe de Rothschild 2022 AUCTION, to be held in Paris. Each lot sold will be adhere to the said conditions and will not be subject to any exception.

1 - The item offered for sale
a) Potential buyers are invited to examine the goods that may interest them before the auction, in person during L'Hôpital Fondation Adolphe de Rothschild 2022 AUCTION, as well as online on the catalog of the L'Hôpital Fondation Adolphe de Rothschild 2022 AUCTION page on Invaluable. The Organizer is at the disposal of the potential buyers, to the extent possible, to provide them with any additional information available that would be of interest to them.
b) The descriptions of the lots in the catalog and the verbal indications or announcements are sourced directly from the artist and transcribed by the Organizer at the time of the production of the catalog, and constitute a representation of the present moment in which they were recorded. These do not constitute any guarantee of the condition of the lot in the future.
c) The absence of any indication of an accident, defect or incident in the catalog, reports, labels or verbally, does not imply that an item is free of any present, past or repaired defect. Conversely, the mention of any defect does not imply the absence of any other defect.
d) Any estimate of the value of the work are provided for information purposes only and cannot be taken to imply that the item will sell for the estimated price or even within the range of estimates. Estimates do not constitute a guarantee of any kind. Estimates may be provided in multiple currencies; conversions may be rounded differently from legal rounding.
e) Information in the catalog is subject to change or correction up to the time of the sale. Applicable changes are made known to the public by an announcement made by the authorized auctioneer at the time of the sale and by an appropriate display in the sales room. These changes are recorded in the minutes of the sale.
2 - The sale
a) In order to ensure the proper organization of the sales, potential buyers are invited to make themselves known to the Organizer, before the sale, so that their personal data can be registered. The Organizer requires all potential buyers to provide proof of identity and bank details. The Organizer reserves the right to deny access to the auction hall to any potential buyer for just cause.
b) Any person who places a bid undertakes to pay personally and immediately the hammer price plus any taxes that may be due, as well as any transport and packaging costs required to deliver to the bidder. Any bidder is deemed to be acting on his own behalf unless he has previously denounced his capacity of agent on behalf of a third party, accepted by the Organizer, at the latest twenty-four hours before the auction.
c) The normal way to bid is to be present at the auction site.
Bids will be made in Euros.
d) It is possible to bid online on the Invaluable platform (www.invaluable.com). Invaluable only acts as a passive intermediary to facilitate the communication between the Organizer and the buyers who cannot be present in the auction room.
Bids will be made in Euros.

The Organizer will not be held responsible in particular if the internet connection is interrupted, is not established, is established late, or in case of errors or omissions relating to the reception of bids by internet platform. For all practical purposes, the Organizer reserves the right to record the exchanges on the platform during the sale. The recordings will be kept until the price is paid, unless challenged.
e) The Organizer may accept, free of charge, to execute bidding orders that will have been transmitted to him before the sale and that the Organizer will have accepted. If the Organizer receives several orders for identical bid amounts, the oldest order will be preferred. The Organizer cannot be held responsible for any error or omission in the execution of the written order.
f) In the case of this sale for which the net proceeds will go to L'Hôpital Fondation Adolphe de Rothschild, the starting price of each lot is agreed with the artist and posted in the catalog beforehand and announced during the sale.
g) The Organizer will conduct the auction sale at his own discretion while respecting established practices. The Organizer has agreed to delegate the management of the sale to its partner Artcurial. The Organizer and its partner reserve the right to refuse any bid, to organize the auction in the most appropriate way, to move certain lots during the sale, to withdraw any lot from the sale, to combine or separate lots. In the event of a dispute, the Organizer and its partner reserve the right to appoint the successful bidder, to continue the sale or to cancel it, or to reoffer the lot for sale.
h) Subject to the decision of the person conducting the sale on behalf of the Organizer, the successful bidder will be the person who has made the highest bid, provided that it is equal to or higher than the reserve price, if any, stipulated.
The hit of the hammer will mark the end of the bidding and the pronouncement of the word "adjudicated" or any other equivalent will lead to the formation of the sales contract between the seller and the last successful bidder. The successful bidder will only be able to obtain delivery of the lot after payment of the full price. In the case of an ordinary cheque, only the cashing of the cheque will be considered as payment.

3 - The execution of the sale
a) No buyer's fee will be charged for this charity sale. The beneficiary of the sale is the Organizer, L'Hôpital Fondation Adolphe de Rothschild.
L'Hôpital Fondation Adolphe de Rothschild will issue a receipt for the purchasers. The purchaser may pay by the following means:
- by bank check (drawn on a French/Monegasque bank), in Euros, upon presentation of an ID and proof of existing funds, current at the time of the auction, payable to : L'Hôpital Fondation Adolphe de Rothschild;
- by bank transfer, in Euros,

b) The Organizer will be authorized to reproduce on the sale report and on the adjudication slip the information provided by the successful bidder before the sale. The successful bidder will be liable for any false information.
If the successful bidder has not registered before the sale, he must provide the necessary information as soon as the lot is sold. Any person who has registered with the Organizer has the right to access and rectify any personal data provided to the Organizer under the conditions of the Law of 6 July 1978.
c) Once the bid is hammered, the successful bidder becomes responsible for his purchase. It will be the responsibility of the successful bidder to insure the lot from the time of the auction at his own expense, as well as any transport, handling, treatment or any other activity that may affect the lot. The successful bidder is solely responsible for the insurance of his purchase and the Organizer is not responsible in any way for any damage that the lot may suffer after the auction.
d) The lot will be delivered to the buyer only after full payment of the price, costs and taxes.
In the meantime, the Organizer will invoice the buyer for any costs incurred for the deposit of the lot, packaging, handling and/or transport costs necessary for its deposit. In case of payment by check, the lot will be delivered only after final cashing of the check by the Organizer.
The successful bidder has a period of 20 days to pay.

e) If the successful bidder fails to pay, after unsuccessful formal notice, the item will be put back on sale at the request of the seller on the basis of an irresponsible bid by the defaulting bidder; if the seller does not make such a request within one month of the auction, the sale will be automatically cancelled, without prejudice to any damages due by the defaulting bidder. In addition, the Organizer reserves the right to claim from the defaulting bidder, any or all of the following, at his choice :
- interest on the amount due at the legal rate plus five points (0.76%+5% = 5.76%),
- the reimbursement of the additional costs generated by its default,
- the payment of the difference between the initial auction price and the price of the auction on irresponsible bidding if it is lower, as well as the costs generated by the new auctions.
- The Organizer also reserves the right to set off any additional amounts due, to the defaulting bidder.
The Organizer reserves the right to exclude from future sales any successful bidder who has defaulted or failed to comply with these terms and conditions of purchase.

f) Purchases which have not been collected on the day of the sale will be transported to a place of conservation at the expense of the successful bidder who will have to pay this cost to the Organizer or the company in charge, accordingly, in order to be able to collect the lot, in addition to the price, the expenses and the possible taxes.

4 - Incidents of the sale

a) In the event that two persons have made identical bids on the spot by voice, gesture or online through the Invaluable virtual sales room, and claim the benefit of the auction at the same time after the hammer has been struck, the item will be immediately put back on sale at the price proposed by the last bidders, and all the public present will be able to make new bids.

b) In order to facilitate the presentation of goods at sales, the Organizer may use video/digital means. In the event of a handling error that could lead to the presentation of an item different from the one on which the bids are placed, the Organizer cannot be held responsible and will be the sole judge of the necessity to restart the bidding.

c) To facilitate the calculations of potential buyers, the Organizer may use a currency conversion system as an indication.
Nevertheless, bids may not be placed in currencies other than the currency specified in 2.c) and 2.e), and the Organizer may not be held responsible for any conversion errors.

5 - Independence of provisions
The provisions of these general conditions of purchase are independent of each other. The invalidity of any provision shall not render the others inapplicable.

6 - Legislative and jurisdictional competence
French Law alone governs the present general conditions of purchase.
Any dispute relating to their existence, their validity, their enforceability against any bidder and buyer, and their execution will be decided by the competent court of the jurisdiction of Paris.

7 - Withdrawal of lots and applicable logistics
a) The buyer will be responsible for insuring his purchases, and the Organizer declines all responsibility for any damage that the object may incur, and this as soon as the auction is declared. All formalities and transport are the exclusive responsibility of the buyer.

b) The Organizer strongly advises the buyers to collect their purchase as soon as possible in order to avoid the costs of storage rent. Under no circumstances can either the Organizer or the expert be held responsible for the objects in storage.

c) The successful bidder has the following options for obtaining the lot:
- On the spot, at the end of the sale. Depending on the nature of the lot, it will be packed simply and delivered in person to the successful bidder after payment of the price, costs and taxes of the lot(s) awarded to him. The successful bidder is obliged to collect the lot in person, unless the Organizer accepts his prior notification of his status as agent for a third party, at the latest twenty-four hours after the auction.
- By delivery. Any transportation or activity ancillary thereto, including, but not limited to, packing, handling, temporary storage, occurring after the lot has been awarded, will be at the sole expense of the purchaser. The Organizer offers a pre-arranged delivery service in this context, to facilitate the purchaser's obtaining the lot at its desired destination. The price of delivery services varies depending on multiple factors, including, but not limited to, the weight of the lot, the fragility of the lot (and therefore the type of packaging and handling required), the delivery distance from the point of origin (Paris), the price of fuel.
