1. Purpose and Scope of Application
The use of the services or the contracting of products through the auction portal www.templumauctions.com (the "Website") is subject to these General Terms and Conditions, which govern the commercial transactions arising with bidders and buyers.
In compliance with Law 34/2002 on Information Society Services and Electronic Commerce (LSSI-CE), we inform you that the domain www.templumauctions.com and its online store and contracting center are owned by HISPANIC ART GALLERY SL, trading as "TEMPLUM FINE ART AUCTIONS," with CIF B-01608413, registered address at Ronda de Segovia No. 26, B, CP 28005, Madrid (Spain), and a public location at C/Roselló No. 193, CP 08036, Barcelona (Spain). The official contact email for notifications is [email protected].
TEMPLUM operates as an auction house with physical locations in Barcelona and Madrid, specializing in auctioning art objects, antiques, collectibles, and other second-hand goods through its website or physical location. The platform acts as an intermediary between the consignor/seller or owner and the buyer of each lot.
TEMPLUM conducts various auctions throughout the year. Ten days before each auction, an illustrated catalog is published with descriptions of the lots available for sale, accessible via www.templumauctions.com. An annual subscription to all or part of our catalogs is also available.
The use of and navigation through this Website or the acquisition of any of its offered products implies the User's full and unconditional acceptance of these General Terms and Conditions.
Users agree not to use the Website or its information for any activities contrary to the law, morality, or public order and to comply with these conditions. Access to and use of the Website is at the User's sole responsibility, and www.templumauctions.com shall not be held liable for any damages resulting from such access or use of the information beyond its control.

2. Applicable Legislation
The intermediation services provided by the Auction House through this Website are governed by these General Terms and Conditions and, where not expressly regulated, by the applicable Spanish legislation:
• Law 7/1986, of January 15, on the Regulation of Retail Trade, Chapter V, "Public Auction Sales," Articles 56 to 61.
• Law 34/2002, of July 11, on Information Society Services.
• Royal Decree-Law 1906/1999, of December 17, regulating telephone or electronic contracting with general conditions under Article 5.3 of Law 7/1998.
• Royal Legislative Decree 1/2007, of November 16, on Consumer and User Protection.
• European Directive 2006/112/EC, of November 28, on the Common VAT System, Chapter 4, "Special Regime for Second-Hand Goods, Works of Art, Antiques, and Collectibles," Articles 311 to 325.

3. Information Provided on the Website
Templum makes every effort to ensure that the data and information contained on our Website are accurate and error-free. In the event of an error, it will be corrected as soon as possible. www.templumauctions.com does not accept liability for merely informational content that may be incomplete, outdated, or unsuitable for all cases or applications.
All contractual information on www.templumauctions.com is displayed primarily in Spanish. Communication with clients and users, as well as contract formalization, will be conducted in Spanish.

4. Intellectual and Industrial Property
All content published on the Website, including but not limited to designs, texts, graphics, logos, icons, buttons, software, trade names, trademarks, industrial designs, and any other elements subject to industrial and commercial use, are protected by intellectual and industrial property rights owned by www.templumauctions.com or third parties that have duly authorized their inclusion on the Website. No license or transfer of such rights is granted, nor is any right conferred to alter, exploit, reproduce, distribute, or publicly communicate such content without prior written authorization from Templum or the respective rights holders.
5. User Registration

To participate in auctions organized by TEMPLUM, users must register as a user, which requires accepting these Terms and Conditions as well as the Privacy Policy.

To register, visit the www.templumauctions.com homepage, go to the "User Registration" tab, and correctly fill in the fields with your personal details, attaching a copy of your ID or an official identification document. The system will assign you a "numerical user code," and you will be able to set your own "password." This ensures the privacy and authenticity of bids, as when placing a bid, your bidding history will display only your user code (not your name and surname), and the bid will only be entered into the system when the correct user code and password are provided.

Your personal data must be accurate and truthful; any falsification or manipulation will result in the termination of your registered account by Templum. Once the form is submitted with correct details and identification, Templum will approve the registration and send a confirmation email with a validation link. A verification phone call will also be made to finalize the registration and enable the user to place bids.

Registering as a user entitles you to receive newsletters that Templum periodically sends via email, providing updates on key auction highlights.

Once Templum has approved your registration, you may operate on the website as a bidder. Please remember that to place bids, you must always be logged in.

The REGISTERED USER is required to use the service responsibly and in good faith, refraining from any prohibited or illicit practices under the law or commercial standards. HISPANIC ART GALLERY S.L. is empowered under these General Terms and Conditions to report any known illegal activity or misuse by the USER to the relevant authorities and to terminate or restrict their access to the website.

The USER shall be solely responsible for any claims or legal actions, whether judicial or extrajudicial, brought by third parties directly affected by the USER before courts or other institutions. The USER assumes all expenses, costs, and compensations that HISPANIC ART GALLERY S.L. may have to bear if a claim is directed against it. Furthermore, HISPANIC ART GALLERY S.L. will cooperate and notify the competent authority as soon as it becomes aware of any damages caused that constitute illegal activity, particularly concerning USER-generated content that may infringe the rights or legitimate interests of HISPANIC ART GALLERY S.L. or third parties.

Due Diligence: The USER is responsible for carrying out all required actions with due diligence. Specifically, the USER must ensure the accuracy and updating of personal data, including the email address used as the primary contact method for purchases with HISPANIC ART GALLERY S.L.

6. Obligations of Clients and Registered Users

The User is generally required to comply with these General Terms and Conditions, follow any specific warnings or instructions for use provided on the Website, and always act in accordance with the law, good customs, and good faith, exercising due diligence. Users must refrain from using the Website in any way that may impair, damage, or deteriorate its normal functioning, the property or rights of www.templumauctions.com, its suppliers, other users, or any third party.

Access to and use of the Website by minors is strictly prohibited without the express consent of their parents or legal guardians. www.templumauctions.com is not responsible for the accuracy and reliability of data provided by users and therefore cannot verify their age.

The User is required, without limiting the generality of the foregoing, to:

• 6.1 - Provide truthful information on the registration or bidding forms and keep it updated.
• 6.2 - Not introduce, store, or distribute on or through the Website any information or material that is defamatory, offensive, obscene, threatening, xenophobic, incites violence or discrimination based on race, gender, ideology, religion, or otherwise violates morality, public order, fundamental rights, public freedoms, honor, privacy, or the image of third parties, or that violates applicable laws.
• 6.3 - Carefully safeguard the "username" and "password" provided by www.templumauctions.com, assuming responsibility for any damages that may result from their improper use.
• 6.4 - Not engage in advertising or commercial exploitation activities through the Website, nor use its contents and information to send advertisements or messages for any commercial purpose, nor to collect or store third-party personal data.
• 6.5 - Not use false identities or impersonate others when using the Website or its services, including the use of third-party passwords or access credentials.

. AUCTION PROCEDURE
7.1. Information on Auction Lots Throughout the year, Templum conducts various auctions. Ten days prior to each auction, an illustrated catalog describing the lots available for sale is published and can be consulted on the website www.templumauctions.com. Additionally, users may subscribe annually to all or a selection of our catalogs.
All lots that have been deposited by their owners at the Auction House are displayed at Templum from Monday to Friday, between 9:30 AM and 8:00 PM, for a week before the auction date in the case of Monthly Auctions, and 15 days before the auction date for Extraordinary Auctions.
For lots that have not been physically deposited at the Auction House, any bidder may request additional information regarding their condition and characteristics--such as photos and videos--or personally inspect them by scheduling an appointment via email at [email protected]. Claims regarding the condition, possible damages, defects, restorations, additions, or missing parts of the lots will not be accepted if these aspects have been recorded in the information and/or cataloging provided on the Website.
Each statement contained in our online cataloging on www.templumauctions.com, regarding specific attributes such as authorship, related data about the artist, attribution, chronology, title, technique, composition, materials, provenance, dimensions, weight, condition, and authenticity of the lots or items up for auction, is always an expression of opinion.
The cataloging of each lot published on our Website is based either on information provided by the consignors or on data collected by responsible individuals and/or parties affiliated with the Website, verified when appropriate with available specialists in each field, and in accordance with our best knowledge and judgment.
The auction lots are presented on the website with comprehensive cataloging and additional images, which are considered an integral part of such cataloging. These images can be enlarged to allow the user-buyer to gain a detailed view of the condition of the pieces. Furthermore, Templum provides expert advisory services to inform users about the conservation status, authorship, or any other relevant details they may wish to inquire about. This advisory service is offered based on the reasonable and prudent judgment of each expert but does not assume any liability, and the buyer must ultimately form their own assessment.
The image gallery data regarding the author, origin, age, provenance, and condition of the lots are included following careful research, verification, and assessment. However, the Auction House accepts no responsibility for their absolute accuracy. Prospective buyers should form their own opinions about the pieces before the auction concludes. If a user-buyer wishes to physically inspect a lot, they may request an appointment through Templum, which will facilitate the process.
www.templumauctions.com is not responsible, under any circumstances, for any past, contemporary, or future contradictory opinions from individuals or specialists regarding a particular lot or item.
Our items are sold in the condition in which they are displayed on the Website. Users or buyers cannot demand returns, compensation, restoration, repair, or modification of the products for sale due to their condition as shown on the website.
7.2. Requirements for Participation in the Auction

a. Registration. For in-person sessions, participants must verify their identity upon entering the auction room, where they will be assigned a "bidder number" (paddle) that will identify them throughout the event. This number must be displayed by the bidder when placing a bid and returned upon exit at the reception desk.

For online sessions, participants must register as users on the auction platform and provide a copy of their official identification document.

b. Deposit. To participate in bids for lots with a starting price equal to or exceeding €7,500, bidders who have not previously made a purchase must provide, in advance, a deposit of 5% of the lot's starting price and an additional 22% as a guarantee for the auction house's commission.

The deposit and additional guarantee must be transferred via bank transfer to the Auction House at least two days before the auction date.

Deposits and additional guarantees from bidders who were not awarded the lot will be refunded within a maximum period of three days from the auction's conclusion.

If the winning bidder fails to pay for the lot under the awarded conditions, the deposit will be forfeited, with 5% allocated to the lot's owner and the remaining portion to the auction house as commission, without prejudice to the seller's right to enforce the contract.

c. Representation. The Auction House may represent bidders who wish to bid on their behalf for the lots of their interest, based on bids they have submitted in writing by completing our representation document. This document must be sent via email, postal mail, or delivered in person at our office before the auction, in accordance with the bidding scale on our Website.

By signing the representation document, the bidder authorizes the Auction House to place bids expressly indicated in the document, either at the starting price or up to the maximum value authorized by the bidder.

7.3. Starting Price and Bidding

Starting Price. Most auctioned items have a starting price, which is the minimum price agreed upon between the seller and the Auction House. If, at the end of the auction, the final bid does not reach this reserve price, the lot is not awarded and, therefore, remains unsold. Before the auction ends, the consignor-seller may lower the reserve price to accept or approach the highest bid available at that moment. Thus, the agreed reserve price is flexible downward.

At Templum, some lots have no reserve price, meaning they are sold as long as a bid is placed, regardless of its amount.

It is strictly prohibited for any consignor/seller to place bids on their own lots, either personally or through third parties, with the intent to artificially increase the lot's final price rather than to genuinely purchase it. If such an action is detected, Templum reserves the right to immediately cancel the user accounts involved and withdraw the consignor's lots from the auction.

In online sessions, the bidding scale is determined by the auction platform, which automatically notifies users via email if their bid has been surpassed, giving them the opportunity to place a higher bid before the exact closing time of the auction, as indicated for each lot. (The bidding scale may differ between in-person and online sessions.)

During in-person sessions, purchase orders (open bids or written bids) will be accepted up to 24 hours before the start of the corresponding session for the requested lot(s), using the forms provided by Templum Fine Art Auctions in the auction hall. The final pages of this catalog include a "Purchase Order Form (Written Bid)."

Through the online portal at www.templumauctions.com, users may also submit bids via the bidding form available for each lot, which must be submitted at least 24 hours before the corresponding session.

In extraordinary auctions, telephone bidding is also available. These bids must cover the starting price and be accompanied by a copy of the bidder's ID or passport. Prior communication and approval by Templum Fine Art Auctions are required before the start of the auction, and the auction house will act as the buyer's representative during the auction.

If two or more bids are submitted for the same lot, the auctioneer will award it to the highest bidder.

Tiebreaker Rule: Priority by Time. If multiple identical bids are received for the same lot, the auctioneer will prioritize the earliest received bid.

The Auction House is not responsible for connection failures or coordination issues arising from the multiple platforms used to participate in the auction.

For written bids, offers must be submitted at least 24 hours before the auction session. Templum Fine Art Auctions is not responsible for processing purchase orders (open bids or written bids) or online forms submitted after the specified deadline.

In online sessions, Templum Fine Art Auctions reserves the right to repeat an auction in the event of technical issues affecting its proper operation.

During in-person sessions, lots will be awarded to the highest bidder present in the auction hall or represented via telephone or written bids (open bids). If a bid is placed in the room that matches the highest pre-submitted written bid, priority will be given to the earlier submission.
7.5 Awarding of the Lot

In online sessions, lots will be awarded to the highest "winning" bidder at the closing time of the specific lot. The "winner" will automatically receive an email notification confirming the successful acquisition of the lot and a corresponding proforma invoice.

Each auction lot will be awarded to its highest bidder. The Auction House reserves the right to reject bids from individuals whose financial solvency has not been duly verified.

In the event that two or more identical written bids are submitted for the same lot in an online auction, the lot will be awarded to the earliest bid received via our email, postal mail, or physical reception at our premises.

7.6 Payment

The winning bidder will receive an email notification confirming the award of the lot once the auctions of the day have concluded. The following day, they will receive the corresponding invoice detailing the hammer price, intermediary commission, and additional costs, all of which are the responsibility of the buyer.

a. Intermediary Commission

The buyer must pay an intermediary commission to the Auction House, which amounts to 26.62% of the hammer price (including VAT).

The transactions handled by the Auction House fall under the "special tax regime applicable to second-hand goods, works of art, antiques, and collectibles" as outlined in Articles 311 to 325 of Directive 2006/112/EC of November 28 on the common VAT system.

b. Export Tax

The special tax imposed by Law 16/1985 on Spanish Historical Heritage, where applicable, will be borne by the buyer or recipient. This tax is calculated based on the final value of the item, including commission and taxes, as follows:

€0.00 to €6,010.12 - 5%

€6,010.13 to €60,101.21 - 10%

€60,101.22 to €600,000 - 20%

€600,001 and above - 30%

A buyer requiring an export permit from the Ministry of Culture under Law 16/1985 may expressly authorize HISPANIC ART GALLERY S.L. to handle the application and obtain the export permit on their behalf. The buyer is responsible for paying the applicable tax and any associated administrative fees.

c. Transportation and Insurance Costs

Shipping, transportation, customs duties, taxes, and insurance costs for the acquired lots to any destination within Spain or internationally will always be the responsibility of the buyer.

d. Payment Methods

The payment for acquired lots must be completed by the buyer within a maximum period of seven (7) calendar days from the auction date. Payment can be made via bank transfer to the account provided by Templum on the Proforma Invoice, or in cash (in euros), provided that the total amount does not exceed €1,000, in accordance with Law 7/2012 of October 29.

If payment is made via bank transfer, the buyer must cover all bank fees, and only transfers in which the received amount matches the invoice total will be accepted.

If 15 days have elapsed since the auction without the buyer making payment and collecting the awarded lots, Templum reserves the right to cancel the sale, without prejudice to any legal actions necessary to claim payment of the corresponding invoice, including applicable late fees.
8 - Collection and Delivery of Awarded Lots

The buyer must collect the acquired goods from Templum's offices after completing the payment, within a maximum period of fifteen (15) days from the auction date.

For antiques subject to the Spanish Historical Heritage Law that are to be shipped outside of Spain, the buyer may only collect the acquired items once they have obtained the required export permit. If the permit processing takes longer than fifteen (15) days from the request date, the buyer may collect the items from the Auction House under the explicit and informed commitment not to remove them from Spain until the Spanish Ministry of Education, Culture, and Sports grants the corresponding export permit. The export permit process, which can be managed by the Auction House on behalf of the buyer, does not exempt them from the immediate payment obligation upon adjudication.

If the fifteen-day period expires without the lot(s) being collected by the buyer, storage and custody fees of €6 per day per uncollected lot will apply.

If buyers are unable to collect their lots in person or through an authorized representative, they must arrange for transportation and insurance directly by hiring their own shipping provider and associated insurance.

The Auction House disclaims any responsibility for incidents that may arise during the transport of the lot(s) once they have been handed over to the buyer's chosen courier company.

Templum may facilitate contact with various shipping and courier companies that offer optional insurance to cover the value of purchased items in case of loss, damage, or breakage during transportation. If the client chooses to hire one of the shipping services recommended by the Auction House, they must accept and pay the transport and insurance cost estimate, which will be communicated either by the transport provider directly or by Templum on their behalf.

Claims for damage, loss, or breakage occurring during shipping must be filed by the buyer directly with the contracted transport company within 48 hours of receiving the shipment. The claim must include a "damage report" sent to the courier company's designated contact, along with photographic evidence of the damaged packages and lots as received and, if applicable, a repair cost estimate.

If one month passes after the auction without the buyer paying for and collecting the awarded lots, TEMPLUM FINE ART AUCTIONS may consider the sale canceled, without prejudice to any legal actions necessary to recover due payments.

9. Right of Withdrawal
In accordance with Article 103.k of Royal Legislative Decree 1/2007, of November 16, on the Protection of Consumers and Users, the right of withdrawal does not apply to contracts concluded via public auction.

Buyers of auctioned goods cannot unilaterally withdraw from the acquisition made at a public auction, unless they invoke a legally justified reason for contract termination due to non-compliance or defective performance attributable to either the Auction House or the original seller.

10. Auction House Liability for Defects and Flaws in Auctioned Items

1. Nature of the Auction House's Intermediation

1.1. The Auction House acts solely as an intermediary between sellers and buyers, providing a platform for the purchase and sale of auctioned items.

1.2. The Auction House does not own the auctioned items and, therefore, assumes no direct responsibility for their condition, authenticity, or compliance with the buyer's expectations, except in cases where the law explicitly establishes such liability.

1.3. All information, descriptions, and representations of auctioned items are provided by the seller or, where applicable, by independent appraisers and experts. The Auction House does not guarantee their absolute accuracy or truthfulness.

2. Exclusion of Warranties and "As-Is" Sale

2.1. Unless expressly stated otherwise in the catalog or item description, auctioned items are sold "as is", in the condition they are in at the time of the auction.

2.2. Compliance warranties under Royal Legislative Decree 1/2007 of November 16 are expressly excluded, except in cases where the buyer is classified as a consumer and the nature of the item allows for such application.

2.3. The Auction House does not guarantee the absence of restorations, modifications, alterations, or previous interventions on the items, nor their suitability for a specific purpose.

3. Prior Inspection by Bidders

3.1. Before the auction, the Auction House makes the items available for inspection by interested parties, either in person or through the information and photographs provided on the online platform.

3.2. Bidders are strongly encouraged to personally inspect the items or request additional information before placing any bids. Once a lot has been awarded, the buyer cannot claim defects that were evident or easily detectable through prior examination.

4. Authenticity and Attribution of Items

4.1. The lot descriptions in the catalog, including attribution to an artist, period, origin, or authenticity, are based on the available information at the time of the auction and do not imply an absolute authenticity guarantee. Cataloging terminology includes:

"[Artist's Full Name]" - Indicates that, in our opinion, the piece is an authentic work by the named artist.

"Initial(s) of the Artist's Name and Surname" - Indicates that, in our opinion, the piece is from the period of the named artist and may have been created by them.

"Attributed to [Artist's Name]" - Indicates that, in our opinion, the piece could be an original work by the named artist, awaiting further confirmation of authorship, taking into account expert opinions.

"Workshop of [Artist's Name]" - Indicates that, in our opinion, the piece was created by an anonymous artist close to or working in the workshop of the named artist.

"Circle of [Artist's Name]" - Indicates that, in our opinion, the piece was created by an unidentified artist following the style of the named artist, regardless of whether they were a direct disciple.

"Spanish School, 17th Century (School with Date)" - Indicates that, in our opinion, the piece was created by an artist of the specified nationality, within the context of 17th-century Spain.

"Spanish School (School without Date)" - Indicates that, in our opinion, the piece follows the style of a Spanish artist or one related to Spain, with unknown authorship, regardless of the time period or nationality of the creator.

"Signed" - Indicates that, in our opinion, the signature on the piece is authentic and executed by the artist's own hand.

"With Signature of" - Indicates that, in our opinion, the signature was added by someone other than the named artist.

"Dated" - Indicates that, in our opinion, the date on the piece was inscribed by the artist.

"With Date of" - Indicates that the date was added by someone other than the named artist.

"In the Style of / Follower of" - Indicates that, in our opinion, the piece was created by an artist working in the style of the named artist, whether or not they were a contemporary, but not necessarily a disciple.

"After [Artist's Name]" - Indicates that the piece was created by a follower, copyist, or imitator working in the style of the named artist.

"Copy of [Artist's Name]" - Indicates that, in our opinion, the piece is a copy of another work by the named artist, without variations in composition, made at a later date.

4.2. If an independent expert report proves that an auctioned item does not correspond to the attribution indicated in the catalog, the buyer may request cancellation of the sale and a refund, provided that:

a) The claim is submitted within one (1) month from the receipt of the lot.

b) The item is returned in the same condition as it was delivered.

c) The item has not been modified, restored, or altered by the buyer or any third party.

6. Limitation of Liability for Claims Regarding Latent Defects
6.1. The Auction House can only be held liable for latent defects under the following circumstances:
• a) If it has acted with fraud or gross negligence in verifying the information provided by the seller.
• b) If it has intentionally concealed relevant information about the condition of the item that it knew or should have known.
• c) In cases where consumer protection regulations establish such liability, when the buyer qualifies as a consumer.
6.2. In all other cases, the buyer may only direct their claim against the original seller of the auctioned item.

7. Claims Procedure and Dispute Resolution
7.1. The buyer must notify the Auction House in writing at [email protected] within a maximum period of fifteen (15) days from the receipt of the acquired item, specifying any defect or latent flaw they identify. The claim must be accompanied by documentary and expert evidence supporting and justifying the claim.
7.2. The Auction House will evaluate the received claim and, if necessary, will act as a mediator between the buyer and the seller in an attempt to reach an amicable resolution.
7.3. If an agreement is not reached, the parties may submit the dispute to arbitration or the competent courts in Spain (Barcelona).

11. Privacy and Personal Data Protection
